These Affiliate Marketing Terms and Conditions (the “Agreement”) govern the affiliate relationship between you (“Publisher,” “you,” or “your”) and Hello Prenup, Inc. (“Hello Prenup,” “Company,” “we,” “us,” or “our”). By enrolling in our Affiliate Program and promoting our products or services (“Affiliate Program”), you agree to abide by all provisions of this Agreement.

1. Definitions

  1. “Affiliate Program”
    The program under which approved Publishers earn commissions by promoting Hello Prenup products and services via unique affiliate links.
  2. “Affiliate Link”
    A unique URL, code, or tracking identifier provided by Hello Prenup to the Publisher that, when used by a customer to make a purchase, registers the sale as “Qualifying Purchase” under the Publisher’s account.
  3. “Qualifying Purchase”
    A purchase of any Hello Prenup prenuptial agreement made by a customer referred through the Publisher’s Affiliate Link, subject to the conditions below (e.g., not returned or canceled within the Return Window).
  4. “Commission Rate”
    For each Qualifying Purchase, the Publisher earns a commission equal to ten percent (10%) of the Purchase Price (as defined below), less any discounts applied at checkout. Commission is not earned on the value of third-party add-ons such as online notarization or attorney services.
  5. “Purchase Price”
    The total amount paid by the customer for a Hello Prenup prenuptial agreement (less any discounts given and excluding taxes and third-party add-ons such as online notarization or attorney access), as reflected on the order confirmation.
  6. “Cookie Period”
    The period during which a tracked browser cookie remains active after a potential customer clicks an Affiliate Link. (See Section 4.3.)

2. Enrollment in the Affiliate Program

  1. Application and Approval
    • To become a Publisher, you must complete the online application form on our Affiliate Program page.
    • We will review your application and notify you of approval or rejection. Approval is at our sole discretion.
    • You must be at least 18 years of age and have a valid PayPal account to receive payments.
  2. Account Setup
    • Once approved, you will receive a unique Affiliate Link (URL or code).
    • You are responsible for securely storing your login credentials. Any activity under your account is your sole responsibility.
  3. Eligibility RequirementsYou represent and warrant that, during your participation in the Affiliate Program:
    • You will comply with all applicable federal, state, and local laws and regulations, including but not limited to those governing advertising, disclosures, and consumer protection.
    • You will not promote Hello Prenup products to persons under 18 years of age.
    • You will not engage in any illegal, unethical, or spammy marketing practices (see Section 6).

3. Promotional Materials

  1. Approved Marketing Channels
    • Personal websites or blogs
    • Email newsletters (to opt-in subscribers only)
    • Social media platforms (e.g., Facebook, Instagram, X, Pinterest, LinkedIn, TikTok, Substack)
    • Paid search and display ads as limited in section 6.3, below.
    • YouTube or other video platforms
    • Other methods as approved by Hello Prenup in writing, including by email
  2. Use of Hello Prenup Assets
    • Hello Prenup may provide banners, logos, product images, and copy (“Promotional Materials”).
    • You agree to use only the most current Promotional Materials made available in the Affiliate Dashboard.
    • You will not alter, misrepresent, or remove any Hello Prenup branding or disclaimers.
  3. Disclosure Requirements
    • In every instance of promotion, you must clearly disclose that you will earn a commission if your audience clicks your Affiliate Link and completes a purchase (e.g., “I earn a commission if you buy through my link.”). This disclosure must be conspicuous and comply with all applicable regulations (e.g., FTC guidelines).

4. Commission Structure & Tracking

  1. Commission Tracking
    Hello Prenup tracks affiliate sales via Rewardful (the “Tracking Software”). Company is not obligated to pay commissions on any sale not registered by the Tracking Software. The Tracking Software is the only source based on which Company will determine a Qualifying Purchase.
  2. Commission Rate
    For each Qualifying Purchase, you earn ten percent (10%) of the Purchase Price.
  3. Cookie Period
    Unless otherwise notified, Company’s tracking cookies remain active for sixty (60) days after a customer clicks your Affiliate Link. If that customer completes a Qualifying Purchase within thirty days, you will receive credit for the sale.
  4. Qualifying Purchase Conditions
    • Commission will only be awarded for referrals resulting in a first-time purchase by a new customer who has never previously created an account or made a purchase with us. No credit will be given for subsequent purchases or for customers who had an existing account prior to the referred transaction, unless otherwise specified.
    • Customer must not cancel, return, or otherwise obtain a refund within thirty (30) days (the “Return Window”). Customer must not receive a chargeback within or beyond thirty (30) days.
  5. Returns
    If a customer cancels their order or returns the product within thirty (30) days of purchase, or receives a chargeback within or beyond thirty (30) days, the original sale will be voided, and any associated commission will be deducted from your pending balance or charged back on future payments.
  6. Commission Adjustments
    Hello Prenup reserves the right to adjust commissions for:
    • Product returns or refunds within the Return Window or chargebacks within or outside the Return Window.
    • Transactions found to involve fraudulent or promotional abuse.
    • Orders placed with invalid or expired Affiliate Links.

5. Payment Terms

  1. Payment Schedule
    • Hello Prenup processes payments on a Net 30 basis: commissions earned become payable 30 days after the date of the completed qualifying transaction or service that generated the commission.
    • Example: If a qualifying sale is completed on January 10th, the commission will be paid by February 9th.
  2. Payment Method
    We offer payment via PayPal only.
  3. Taxes
    • You are responsible for reporting and paying all taxes on commissions earned.
    • Hello Prenup may request a completed W9 (for U.S. residents) or W8BEN (or other applicable tax form for international affiliates). Failure to provide appropriate tax documentation may result in the withholding of commissions.

6. Publisher Obligations

  1. Accurate Representation
    You agree to present Company’s products or services accurately, without false or misleading claims. Do not make legal or financial promises beyond what Company’s official website states. Hello Prenup does not offer legal advice or representation and is not a law firm or a substitute for the advice or services of an attorney or law firm. You agree not to represent or imply otherwise. For example, you may reference our network of independent attorneys, but may not state that we employ the attorneys or describe them as “Hello Prenup attorneys.”
  2. Compliance with Laws
    You must comply with all applicable laws and regulations, including but not limited to:
    • Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials
    • CAN-SPAM Act (for email marketing)
    • Children’s Online Privacy Protection Act (COPPA)
    • Any applicable international, federal, state, or local laws
  3. Prohibited Activities
    You agree not to engage in any of the following activities (any breach will result in immediate termination of this Agreement and forfeiture of unpaid commissions):
    • Spam: Sending unsolicited email or other forms of unsolicited communication promoting Hello Prenup products to non-opt-in recipients.
    • Trademark or Brand Abuse: Using Hello Prenup trademarks, logos, or brand names in domain names, ad text, or meta tags in any way that suggests ownership or shakes customer trust.
    • Coupons: Posting unauthorized coupon codes or methods to override our standard pricing.
    • Click Fraud: Generating clicks or purchases on your own Affiliate Link through bots, paid-to-click schemes, or any artificial means.
    • Misleading Advertisements: Making deceptive claims or misrepresentations about our products, pricing, or policies.
    • Keyword Bidding: Bid on keywords including or substantially similar to prenup, prenuptial, prenup lawyer, and/or helloprenup in paid search campaigns without prior written approval from Hello Prenup, including by email.
    • Unauthorized Use of Copyrighted Material: Using content (text, images, videos) from Hello Prenup without explicit permission.
  4. Link Integrity
    • You must ensure your Affiliate Links are correctly formatted and active.
    • Broken links or expired tracking codes that prevent accurate tracking of sales may result in forfeiture of commissions for failed referrals.
  5. Transparency
    Hello Prenup may inquire about affiliate link placement at any time. Upon request, you must provide access to any platform containing an Affiliate Link, whether available to the public or beyond a paywall or other barrier at no cost to Hello Prenup.

7. Promotional Restrictions

  1. No Self-Referrals
    You may not place orders for Hello Prenup products on your own Affiliate Links to earn commissions. Violation will result in immediate termination and forfeiture of commissions.
  2. No Incentivized Clicks
    Affiliates may not offer cash, prizes, or any other incentive to click on an Affiliate Link.

8. Term and Termination

  1. Term
    This Agreement begins on the date you accept it during registration and continues until terminated by either party.
  2. Termination by Either Party
    • Voluntary Termination: You may terminate your participation at any time by deleting your account through Rewardful or by sending email notice to support@helloprenup.com.
    • Company Termination: Hello Prenup may terminate this Agreement or suspend your access to the Affiliate Program at any time, with or without cause, by providing notice via email or the Affiliate Dashboard.
  3. Effect of Termination
    • Upon termination, your right to earn commissions on any new Qualifying Purchases ceases immediately.
    • You will still be paid for any outstanding commissions from Qualifying Purchases made prior to termination, provided they remain valid (i.e., not returned) through an extended 60-day window for refunds, returns and/or chargebacks.
    • Within ninety (90) days following termination, any pending commissions that remain valid will be paid in the next scheduled payment cycle.

9. Confidentiality and Non-Disparagement

  1. Confidential Information
    “Confidential Information” includes any nonpublic information received from Hello Prenup (e.g., commission reports, customer data, marketing strategies, promotional plans).
  2. Non-Disclosure
    Except as required by law, you agree not to disclose or use any Confidential Information for purposes other than fulfilling your obligations under this Agreement.
  3. Non-Disparagement
    Each Party agrees not to make any statements, written or verbal, or cause or encourage others to make any statements, written or verbal, that defame, disparage or in any way criticize the personal or business reputation, practices, or conduct of the other Party, its employees, directors, and officers. Each Party acknowledges and agrees that this prohibition extends to statements, written or verbal, made to anyone, including but not limited to, the news media, investors, potential investors, any board of directors or advisory board members, industry analysts, competitors, strategic partners, vendors, employees (past and present), customers, and clients.

10. Intellectual Property

  1. License to Use TrademarksSubject to your compliance with this Agreement, Hello Prenup grants you a nonexclusive, nontransferable, revocable license to display Company’s trademarks, logos, and Promotional Materials solely for the purpose of promoting Hello Prenup products as an approved Affiliate.
  2. RestrictionsYou may not:
    • Alter or modify any Hello Prenup trademarks or Promotional Materials.
    • Create confusingly similar marks, domain names, or social media handles.
    • Grant any third party any rights to use Hello Prenup intellectual property.

11. Warranty, Liability and Indemnification

  1. No WarrantyHello Prenup makes no express or implied warranties regarding the Affiliate Program, the Commission structure, or any software or service provided herein. The Program is provided “as is,” “with all faults,” and “as available.”
  2. Limitation of LiabilityTo the maximum extent permitted by law, Hello Prenup and its officers, directors, employees, affiliates, agents, suppliers, or licensors will not be liable for any indirect, incidental, special, punitive, or consequential damages arising from:
    • The Affiliate Program or this Agreement.
    • Any failure to track sales or provide commissions.
    • Any taxes or other obligations related to your commissions.
  3. Cap on LiabilityIn no event will Company’s total liability to you under this Agreement exceed the total commissions you have actually received from Qualifying Purchases in the six (6) months preceding the claim.
  4. IndemnificationYOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HELLO PRENUP, OUR AFFILIATES AND LICENSORS, AND OUR AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AND REPRESENTATIVES, HARMLESS FROM AND AGAINST ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS’ FEES) RELATING TO (A) YOUR PRACTICES AS AN AFFILIATE; (B) YOUR VIOLATION OF ANY TERM OR CONDITION OF THIS AGREEMENT (INCLUDING ANY PROGRAM POLICY), AND (C) YOUR TAXES AND DUTIES OR THE COLLECTION, PAYMENT, OR FAILURE TO COLLECT OR PAY YOUR TAXES OR DUTIES, OR THE FAILURE TO MEET TAX REGISTRATION OBLIGATIONS OR DUTIES.

12. Technical Issues & Reporting Disclaimer:

    1. HelloPrenup makes commercially reasonable efforts to maintain accurate tracking and reporting of affiliate activity, commissions, and payments. However, by participating in the HelloPrenup affiliate program, you acknowledge and agree that:
      • No Guarantee of Error-Free Reporting: HelloPrenup does not warrant or guarantee that tracking, reporting, attribution, or payment calculations will be uninterrupted, accurate, or error-free. Technical issues may arise from our internal systems, integrations, data transfers, third-party platforms (including but not limited to Impact, Rewardful, and other partner tools), or factors outside our control.
    • Not Liable for Technical Failures: HelloPrenup is not responsible or liable for any delays, inaccuracies, missed attributions, lost commissions, or other impacts arising from:
      • system outages or malfunctions;
      • API failures, connection errors, or data sync issues;
      • errors or limitations in third-party reporting platforms;
      • software updates or technical changes by third-party providers;
      • integration failures or unexpected technical behavior.
    • Affiliate’s Duty to Review: Affiliates are responsible for reviewing their reporting dashboards and notifying HelloPrenup in writing within 7 days of any suspected issue. HelloPrenup will make reasonable efforts to investigate and correct errors, but does not guarantee correction, reconstruction, or retroactive payment when data is incomplete, unavailable, or corrupted due to technical issues.
    • Sole Determination of Valid Commissions: HelloPrenup’s internal records, as determined in its sole discretion, shall be the final and binding source of truth for commission eligibility and payout calculations.

13. Modifications to the Agreement

  1. Right to ModifyHello Prenup reserves the right to update or modify this Agreement at any time. We will post the revised version in the Affiliate Dashboard and, if the changes involve the commission rate as an edit, send an email notifying you of the update.
  2. Publisher’s Consent to Changes
    • Continued participation in the Affiliate Program after notice of changes constitutes your acceptance of those changes.
    • If you do not agree to the updated terms, you must terminate your participation within ten (10) business days following notification. Failing to do so constitutes acceptance, and you may forfeit any commissions that do not comply with the revised terms.

14. Independent Contractor Relationship

You are an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, franchise, agency, employment or other relationship between Hello Prenup and you other than independent contractor. You are solely responsible for all costs and expenses related to your marketing, taxes, and any other liabilities connected to your participation.

15. Governing Law, Venue, and Waiver of Class or Representative Actions

  1. Governing LawThis Agreement, and any dispute arising out of or relating to it, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws rules.
  2. VenueIn any action among or between the Parties arising out of or relating to this Agreement, including any action seeking equitable or injunctive relief, each of the Parties irrevocably and unconditionally consents and submits to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware. In the case of a dispute, the prevailing party shall be entitled to reasonable attorneys’ fees and costs.
  3. Waiver of Class or Representative ActionsYOU AND HELLO PRENUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITIES AND NOT AS PLAINTIFFS OR CLASS MEMBERS IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING OR IN THE CAPACITY OF A PRIVATE ATTORNEY GENERAL.

16. Miscellaneous

  1. Entire AgreementThis Agreement constitutes the entire understanding between you and Hello Prenup regarding the Affiliate Program and supersedes all prior or contemporaneous agreements, representations, and understandings.
  2. No ExclusivityThis agreement is not exclusive. Hello Prenup may enter into agreements with any other company to promote Hello Prenup products. Hello Prenup does not commit to provide, guarantee, or make representations regarding the minimum commission payment for any month.
  3. SeverabilityIf any provision of this Agreement is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
  4. Force MajeureNeither Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement, when and to the extent such failure or delay is caused by or results from acts beyond the impacted Party’s reasonable control, including, without limitation: (i) acts of God; (ii) flood, fire, earthquake, explosion or disaster; (iii) war, terrorist acts, riot or other civil unrest; (iv) government orders, laws, actions by any governmental authority, embargoes or blockades in effect on or after the date of this Agreement; (v) pandemic; and (vi) national or regional emergency.
  5. WaiverThe failure of Hello Prenup to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
  6. AssignmentYou may not assign or transfer this Agreement or your rights under it without Company’s prior written consent. Hello Prenup may assign this Agreement without restriction.
